Terms of Service

These Terms of Service (“Terms”) govern your company’s use of Haulbeam, an operations platform provided by Energea Technologies LLC (“Energea”, “we”, “us”). By creating an account, signing an order, or using Haulbeam, the company you represent (“Customer”, “you”) agrees to these Terms. If you accept on behalf of a company, you confirm you have authority to bind it.
1. The service
Haulbeam includes the web and Windows application, the Mac and iPhone office apps, the Haulbeam Driver app, the customer tracking portal, the load-board network, the AI assistant and the related APIs (together, the “Service”). Features available to you depend on your plan.
2. Accounts and users
- Your administrators invite office users and drivers and decide what each can see. You are responsible for everything done under your accounts and for keeping sign-in details secure.
- Each user must be at least 16 years old. Drivers use Haulbeam Driver on behalf of your company, with an account your company issues.
- Tell us promptly at support@haulbeam.info if you suspect unauthorized access.
3. Your data
- You own the data you or your connected systems send to Haulbeam (“Customer Data”). You give us permission to host, copy, normalize and process Customer Data only to provide, secure and support the Service for you.
- We do not sell Customer Data and do not use it to train AI models offered to others.
- Network features (such as benchmarks on the load-board network) use only aggregated, de-identified figures drawn from a minimum number of companies, and only for companies that enroll in the network.
- You are responsible for having the rights to the data you connect, including data from your software vendors and trading partners.
4. Drivers, location and workplace data
Haulbeam Driver records location only while a driver is on duty and on a trip, and shows the driver whether tracking is on. You are responsible for giving drivers any notices and obtaining any consents required by the laws that apply to you, and for using driver data only for lawful business purposes. Haulbeam is not your electronic logging device (ELD) or hours-of-service system of record.
5. AI assistant and drafted actions
The assistant answers from your company’s records and shows its sources, but its answers can be wrong or incomplete. Messages, EDI documents and other actions it drafts are never sent until a person in your company approves them. You are responsible for reviewing and approving what is sent in your name. If you connect your own AI provider key, your data is processed by that provider under your agreement with it.
6. Fees and billing
- Plans are billed in advance, monthly or yearly, through our payment processor, Stripe. Fees are stated on your order or in the app and are exclusive of taxes, which you pay.
- Subscriptions renew automatically for the same term unless cancelled before the renewal date from Plan & billing or by e-mail to us.
- If your company uses outside drivers from the Haulbeam network, a flat fee is charged for each such driver for each month they work for you, however many loads. It is billed after the month (on yearly plans, at renewal). Drivers are never charged, and Energea never takes a share of a load’s rate or handles payment for a load.
- We may change prices for a future term with at least 30 days’ notice.
- If a payment fails, we will tell you and may limit the Service to read-only access after a grace period. Fees paid are non-refundable except where the law requires otherwise.
7. Acceptable use
Do not use the Service to break the law, infringe others’ rights, track people outside lawful business purposes, upload malware, probe or disrupt the Service, resell it without our written agreement, or attempt to access another company’s data.
8. Third-party services
Haulbeam connects to software and services you choose (for example your TMS, ERP, telematics, EDI partners, mailboxes and AI providers). Their terms govern your use of them, and we are not responsible for them.
9. Confidentiality and security
Each party will protect the other’s confidential information with reasonable care and use it only for this relationship. We maintain administrative, technical and physical safeguards designed to protect Customer Data, including encryption in transit, tenant isolation and audit logging.
10. Suspension and termination
You may cancel at any time; cancellation takes effect at the end of the paid term. We may suspend access for non-payment or for a serious breach of these Terms, after notice where practical. After termination you may export your data for 30 days; we then delete Customer Data, except where the law or a legal hold requires us to keep it.
11. Disclaimers
The Service is provided “as is”. Estimates such as arrival times, risk flags, revenue findings and routing are aids to decision-making, not guarantees. Haulbeam does not provide legal, tax or regulatory advice.
12. Limitation of liability
To the extent the law allows, neither party is liable for indirect, incidental, special or consequential damages, or for lost profits or revenue, and each party’s total liability under these Terms is limited to the fees you paid in the 12 months before the claim. These limits do not apply to your payment obligations or to either party’s indemnity obligations.
13. Indemnity
You will defend and indemnify Energea against third-party claims arising from Customer Data or your use of the Service in breach of these Terms or the law, including claims by your drivers or employees about how you used their data.
14. Governing law
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. The state and federal courts located in New York have exclusive jurisdiction.
15. Changes
We may update these Terms. We will give at least 30 days’ notice of material changes by e-mail or in the app. Continued use after the effective date means you accept the updated Terms.
